Ajinomoto Co., Inc. Completes the Acquisition of a U.S.-based Biopharmaceutical CDMO
Operating under New Company Name: Ajinomoto Althea, Inc.

TOKYO, April 5, 2013 – Ajinomoto Co., Inc. (“Ajinomoto Co.”) announced that today, Friday, April 5, 2013 (April 4 local U.S. time), it completed the procedures to acquire all of the stock of Althea Technologies, Inc. (“Althea”) in accordance with the contents set forth in the press release “Ajinomoto Co., Inc. agrees to acquire Althea Technologies, Inc. a U.S.-based biopharmaceutical CDMO” dated March 6, 2013. With the company as a fully consolidated subsidiary of Ajinomoto Co. under the new name Ajinomoto Althea Inc., Ajinomoto Co. plans to expand the business for contract biopharmaceutical development and manufacturing services in the North American market, and to strengthen the Ajinomoto Group’s advanced biomedical business.

Completion of the Stock Acquisition
As of Friday, April 5, 2013 (April 4 local U.S. time), Ajinomoto Co. completed the acquisition of all of the stock of Althea. The acquisition price was approximately USD 175 million (approx. JPY 16 billion).
