Group Shared Policy on Governance

We will work to enhance management quality following each principle of Japan’s Corporate Governance Code and work to strengthen governance of Ajinomoto Group.

1. Corporate Governance structure

As a Company with independent Nomination, Audit and Compensation Committees, where supervision and execution of business are clearly separated, Ajinomoto Co., Inc. will balance speedy business execution with appropriate supervision that incorporates the opinions of stakeholders.

2. Governance system

We will systematically define for each function and operation in shared Group-wide philosophy and operating procedures, and ensure full compliance.

3. Clarification of roles & responsibilities and transfer of authority

We will clarify the roles and responsibilities of each subsidiary and organization, enhance the effectiveness and efficiency of business execution, and achieve sustainable enhancement of corporate value.

4. Supervision of affiliated companies and appropriate decision making

In accordance with this policy, Ajinomoto Group is responsible for supervising the management of its affiliated companies. Important matters related to affiliated companies will be decided by the Executive Committee and Board of Directors of Ajinomoto Co., Inc., as necessary.
